These Terms of Use (“Terms”) govern your access to and use of the Trait Biosciences Inc. website located at https://traitbio.com (the “Site”).

Trait Biosciences operates the Site to provide information about our company, our patent-protected cannabinoid ingredient technologies, intellectual property, research and development activities, and ingredient supply capabilities.

The Site is intended primarily for business professionals, formulators, researchers, procurement teams, and other industry stakeholders. The Site is not intended for consumer use or for individuals seeking personal health or medical advice.

Nothing on the Site constitutes a consumer product offer, medical advice, health advice, or a solicitation to purchase products for personal use.

Trademarks

The Trait Biosciences name, logo, and product names are proprietary marks of Trait Biosciences Inc. Trait Distilled™, Trait GlycoRenew, Trait VitaComplex, and Trait Companion are trademarks or proprietary marks of Trait Biosciences Inc., as applicable. Other product names and marks appearing on the Site may be trademarks of their respective owners.

You may not use Trait Biosciences trademarks, logos, product names, or other proprietary marks without our prior written permission.

Patents

The ingredient technologies, processes, methods, and compositions described on the Site may be protected by one or more United States and international patents or patent applications.

Nothing on the Site grants you any license or right to use, reproduce, manufacture, commercialize, or otherwise exploit any patented technology, process, method, or composition owned or controlled by Trait Biosciences.

Permitted Use

You may access and view Site content for your own lawful informational, business, research, or professional purposes.

You may not use the Site or its content in a manner that violates these Terms or applicable law.

NO HEALTH, MEDICAL, OR REGULATORY CLAIMS

Trait Biosciences is an ingredient manufacturer and technology company. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be submitted to binding arbitration in Santa Fe, New Mexico, in accordance with the applicable rules of the American Arbitration Association, except that either party may seek temporary, preliminary, or permanent injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect its intellectual property, confidential information, or other rights.

If a court determines that the arbitration provision is unenforceable as to a particular dispute, that dispute shall be brought in the state or federal courts located in Santa Fe County, New Mexico, to the extent permitted by applicable law.

CHANGES TO THESE TERMS

Trait Biosciences reserves the right to revise or update these Terms at any time. Any changes will become effective when the revised Terms are posted on the Site, unless otherwise stated.

Your continued access to or use of the Site after revised Terms have been posted constitutes your acceptance of the updated Terms.

If you do not agree to the revised Terms, you should discontinue your access to and use of the Site.

SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable.

If modification is not possible, the affected provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.

ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Trait Biosciences Inc. concerning your access to and use of the Site and supersede all prior or contemporaneous communications, representations, agreements, or understandings concerning your use of the Site.

Our Privacy Policy and other policies published on the Site address separate matters and are governed by their respective terms.
